The Brussels Legal website (hereinafter "the Website") is owned and operated by EuroBrussels Ltd.  EuroBrussels Ltd.'s company information is supplied at the end of these Terms.

By using the Website you agree to be legally bound by these Terms, which shall take effect and become enforceable immediately on your first use of the Website. Consultation or use of this Website shall, however, not create a client relationship between EuroBrussels Ltd, the professional advisors and/or the individual users.

EuroBrussels Ltd’s names and logos, such as ‘Brussels Legal’ as well as all other signs used on the Website, are legally protected trademarks and/or tradenames. You may not use or reproduce or allow anyone to use or reproduce any trade names or trademarks (such as “Brussels Legal” name and logo or other trade names appearing on the Website) for any reason without prior written permission from EuroBrussels Ltd.

Nothing contained in these Terms shall be construed as conferring any licence or right to use any intellectual property right of EuroBrussels Ltd or any other third party. In particular, you acknowledge and accept that the granting of the use of the Website or any part thereof does not confer any title and/or right of ownership to the Website and/or the underlying software or databases, or any part of it, nor any intellectual property rights to and/or with regard to the Website, underlying software or databases.

EuroBrussels Ltd strictly prohibits any other use whatsoever, including (re)publishing or reproducing parts of the Website in any form or in any manner, whether electronically or mechanically, or stored in an automatic database, except with its prior written authorisation. You may only print and download portions of the Website for your personal, non-commercial use.

Contributions to the Website

Where you submit any contribution to the Website (including any text, photographs, graphics, video or audio) you agree, by submitting your contribution, to automatically grant EuroBrussels Ltd for the whole duration of the copyright a royalty-free, sub-licensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, play, make available to the public, and exercise all copyright rights (“droits patrimoniaux”) with respect to your contribution worldwide and/or to incorporate your contribution in other works than the Website in any media now known (such as but not limited to Internet and satellite) or later developed, for the full term of protection of any rights that may exist in your contribution under the applicable copyright laws. EuroBrussels Ltd can assign this right and license to any third party.

Upon granting the above mentioned license, you waive your right to oppose to modifications of your contributions if these are linked to the exploitation thereof, except for modifications which would prejudice your honour or reputation.

If you do not want to grant EuroBrussels Ltd the rights set out above, please do not submit your contribution to the Website.

In exceptional circumstances EuroBrussels Ltd may, however, on an individual case basis and at its sole discretion choose to modify or waive any of the aforementioned rights by means of a written express agreement.

When submitting your contribution to the Website, you represent and warrant that your contribution:
A. is either your own original work or is duly (sub)licensed by you to EuroBrussels Ltd (it being understood that sublicensed contributions can only be submitted upon the explicit prior written consent of EuroBrussels Ltd) and that you have the proper rights and title to make it available to EuroBrussels Ltd and to the Website for all the purposes and to the extent as described above in this clause;
B. is not unethical or defamatory; and
C. does not infringe any laws or professional rules (including local bar rules); and
D. you hold EuroBrussels Ltd harmless and indemnify the latter against all legal fees, damages and other expenses that may be incurred by EuroBrussels Ltd as a result of a breach by your contribution of any of the rights, representations or warranties granted above in this clause.

Community Forums

The Website may include bulletin boards, classified ads, discussion groups, blogs, and other areas that allow interaction between users and/or users and the Website (hereinafter the “Forum” or “Fora/Forums”).

Messages, posts, classified ads, questions, answers, opinions, etc are contributions by users to the Website and do not express the opinion of EuroBrussels Ltd.

While EuroBrussels Ltd does not control the information/materials posted to the Forum or Fora/Forums, it reserves the right (which it may exercise at its sole discretion and without notice) to delete, move or edit the information/materials posted that is/are in violation of existing laws, professional rules or good ethics or behaviour (as determined by EuroBrussels Ltd) and to terminate your access to and use of the Forum and/or Fora/Forums.

In addition to these Terms, by registering to join the Forum or Fora/Forums you agree to it’s/their conditions of registration. EuroBrussels Ltd may change these registration conditions at any time by posting changes online. Please review these conditions regularly to ensure you are aware of any changes. Your continued use of the Forum or Fora/Forums after changes are posted means you agree to be bound by these conditions as updated and/or amended.

Force Majeure

EuroBrussels Ltd will not be liable or deemed to be in default for any delay or failure in performance or interruption of the delivery of the Website or parts thereof resulting directly or indirectly from any unforeseeable cause or circumstance beyond its reasonable control, including but not limited to failure of electronic or mechanical equipment or communication lines, telephone or other interconnection problems, power loss, computer viruses, unauthorised access, theft, operator errors, severe weather, earthquakes or natural disasters, strikes or other labour problems (industrial disputes, lock-outs, etc), wars, terrorism, riots, civil unrest, governmental acts or restrictions (“fait du Prince”),or shortcoming of suppliers of EuroBrussels Ltd (hereinafter “Force Majeure event”).

Parts of the Website may contain advertising or other third party content. Advertisers and other content providers are solely responsible for ensuring that material submitted for inclusion on the Website complies with international and national laws. EuroBrussels Ltd is not responsible for any third party content or error, omission or inaccuracy in any advertising material or other third party content.

The Website may contain hyperlinks to other web sites on which EuroBrussels Ltd does not exercise any control. EuroBrussels Ltd is not responsible for the availability, the accuracy, the lawfulness, the legitimacy or any other quality of the information or services contained in these web sites or their contents.

Notices

Severability/Limitation

If any provision(s) of these Terms is/are invalid or unenforceable, it/they will not render all the Terms unenforceable or invalid but rather the Terms will be read and construed as if the invalid or unenforceable provision(s) are not contained therein. Any cause of action of yours with respect to these Terms can be exclusively submitted to the court of competent jurisdiction as indicated below within one year after the cause of action has arisen, or such cause will be deemed to be barred, invalid and void.

Headings

Headings in these Terms are for convenience only and have no legal meaning or effect.

Governing Law and Jurisdiction

These Terms shall be governed by, construed and interpreted in accordance with, Belgian law.

The parties irrevocably agree that the courts of Brussels (Belgium) shall have exclusive jurisdiction to settle any dispute which may arise out of, under, or in connection with the Website, these Terms or the legal relationship established by them.

For the exclusive benefit of EuroBrussels Ltd, EuroBrussels Ltd shall retain the right to submit any dispute to the courts of the country of your residence or, your principal place of business.
